Terms of Service

These Terms of Service ("Terms") govern your use of memvo.ai and the Memvo macOS application ("Memvo", "the App", "the Service"). By purchasing a license, downloading, installing, or using Memvo, you agree to these Terms. If you do not agree, please do not use the Service.

2. Scope
These Terms apply to all contracts concluded between us and any natural or legal person ("you", "the customer") regarding the use of Memvo. Any conflicting or supplementary terms of the customer do not apply unless we have expressly agreed to them in writing.
3. Description of the Service
Memvo is a macOS application that converts your speech into text and uses an on-device memory system to enrich your prompts to AI tools with personal context. Memvo runs locally on your Mac, with selected processing operations carried out by external service providers as described in our Privacy Policy. Memvo requires an internet connection and a valid license to operate.
4. Conclusion of Contract
The presentation of Memvo on memvo.ai does not constitute a binding offer but an invitation to purchase. You make a binding offer to enter into a contract by completing the checkout process via our payment provider Stripe. The contract is concluded when we accept your offer, which we do by sending you a confirmation email containing your license key. The contract language is English.
5. License Grant
Upon successful purchase and payment, we grant you a non-exclusive, non-transferable, revocable license to use Memvo for the duration of your active subscription, on a single Mac device per license key, in accordance with these Terms. You may transfer your license to a different Mac at any time using the in-app transfer feature.
You may not (a) sell, sublicense, rent, or otherwise transfer your license key to third parties, (b) reverse engineer, decompile, or disassemble the App, except to the extent expressly permitted by mandatory law, (c) modify or create derivative works of the App, (d) remove or alter any copyright, trademark, or other proprietary notices, or (e) use the App to build a competing product or service.
All rights, title, and interest in and to Memvo, including all intellectual property rights, remain with us.
6. Pricing and Payment
Memvo Pro is offered in two payment options:
13 € per month, billed monthly, or 120 € per year, billed annually.
All prices are gross prices and include the applicable statutory value-added tax (VAT) where applicable. Payment is processed exclusively through our payment provider Stripe. Accepted payment methods are displayed during checkout. Payment is due immediately upon conclusion of the contract.
If a payment fails or is reversed, we reserve the right to suspend your access to the Service until payment is settled.
7. Free Trial
We offer a free 7-day trial period for new customers. During the trial, you have full access to Memvo Pro. You will not be charged during the trial period. If you do not cancel before the end of the trial, your subscription will automatically convert to a paid subscription at the price you selected, and the first billing period will begin.
You can cancel your trial at any time before it ends through the customer portal accessible from memvo.ai or by contacting us at info@runandgun.agency. Once cancelled before the trial ends, no charges will be made.
8. Term, Renewal, and Termination
The subscription begins at the end of your free trial and runs for the billing period you selected (monthly or annually). Your subscription automatically renews for successive billing periods of the same length unless you cancel before the end of the current period.
You may cancel your subscription at any time, with the cancellation taking effect at the end of the current billing period. Until then, you retain full access to Memvo. Cancellation is performed via the customer portal accessible from memvo.ai or by contacting us at info@runandgun.agency.
We may terminate the contract for cause without notice if you materially breach these Terms, in particular by violating the license restrictions in Section 5 or by failing to pay.
The right to extraordinary termination for good cause remains unaffected for both parties.
9. Right of Withdrawal for Consumers
The following provisions apply only if you are a consumer within the meaning of § 13 of the German Civil Code (BGB), meaning you are entering into the contract for purposes that are predominantly outside your trade, business, craft, or profession.
Right of Withdrawal
You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period is 14 days from the day of the conclusion of the contract (which is the day we send you the license key by email confirming your subscription has begun).
To exercise the right of withdrawal, you must inform us (Elwin Nesiris und Oskar Neftels Film GbR, Biedermannplatz 10, 22083 Hamburg, Germany, info@runandgun.agency) of your decision to withdraw from this contract by an unequivocal statement (for example, a letter sent by post or an email). You may use the model withdrawal form below, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of Withdrawal
If you withdraw from this contract, we shall reimburse you all payments received from you, without undue delay and not later than 14 days from the day on which we are informed about your decision to withdraw. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

10. Refund Policy
Apart from the statutory right of withdrawal described in Section 9, we do not offer a general refund policy. Subscription fees already paid for the current billing period are non-refundable upon ordinary cancellation.
If you experience technical issues that prevent you from using Memvo as intended, or if your Mac is incompatible with Memvo despite meeting the system requirements stated on memvo.ai, please contact us at info@runandgun.agency. We will review such cases individually and may, at our sole discretion, offer a refund or other appropriate remedy.
11. Updates and Maintenance
During your active subscription, we will provide updates that are necessary to maintain Memvo's contractual functionality, including security updates and compatibility updates with current versions of macOS supported by Apple. We are not obligated to add new features or to support outdated macOS versions that are no longer supported by Apple.
We aim to keep the Service available 24/7, but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or factors beyond our control. We will use reasonable efforts to inform you in advance about planned maintenance.
12. System Requirements
Memvo requires macOS 14 or later, an Apple Silicon or Intel Mac, a working internet connection, microphone access, accessibility permissions, and a valid license. Detailed and up-to-date system requirements are available on memvo.ai. It is your responsibility to ensure that your device meets these requirements.
13. Warranty for Digital Products
In accordance with §§ 327 ff. BGB, we are obliged to provide Memvo in a manner that conforms to the contract throughout the duration of your subscription. If Memvo does not function as agreed, you have the statutory rights to subsequent performance, price reduction, or termination of the contract, depending on the nature of the defect. Statutory consumer rights remain unaffected by these Terms.
If you discover a defect, please contact us at info@runandgun.agency. We will respond to defect notices in a reasonable time and seek to resolve them as quickly as possible.
14. Limitation of Liability
We are liable without limitation for damages caused intentionally or by gross negligence, for damages arising from injury to life, body, or health, and to the extent we have assumed a guarantee or are mandatorily liable under the German Product Liability Act (Produkthaftungsgesetz).
For damages caused by simple negligence, we are liable only if a material contractual obligation (Kardinalpflicht) has been breached. A material contractual obligation is one that the contract must impose to enable proper performance and on the fulfillment of which the customer regularly relies. In such cases, our liability is limited to the foreseeable damage typical for this type of contract.
We are not liable for any loss of data resulting from the use or inability to use Memvo. You are responsible for maintaining backups of your local Memvo data, including your memory database, transcripts, and other files stored on your Mac.
The above limitations of liability apply equally to our legal representatives, employees, and vicarious agents.
15. Customer Responsibilities
You are responsible for using Memvo in compliance with applicable law. You must not use Memvo to record, transcribe, or process speech of other persons without their consent where such consent is required by law. You must not use Memvo for any unlawful purpose or to violate the rights of third parties. You are responsible for keeping your license key confidential and for any use of the Service through your license.
16. Changes to These Terms
We reserve the right to amend these Terms with effect for the future, in particular in response to changes in law, court decisions, or our service offering. Material changes will be communicated to active subscribers by email no later than 30 days before they take effect. If you do not agree to the changes, you have the right to terminate your subscription with effect from the date the changes take effect. Continued use of Memvo after the effective date of the changes constitutes acceptance of the amended Terms.
17. Online Dispute Resolution
The European Commission provides a platform for online dispute resolution (ODR), which is available at https://ec.europa.eu/consumers/odr. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
18. Governing Law and Jurisdiction
These Terms and any contractual relationship between you and us are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer with habitual residence in another EU member state, the mandatory consumer protection provisions of the law of your country of residence remain unaffected.
For customers who are merchants, legal entities under public law, or special public funds, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Hamburg, Germany.
19. Final Provisions
If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid one.
There are no oral side agreements. All amendments and supplements to these Terms must be made in writing to be effective.
